Client Agreement on the Terms and Conditions of Service in the Official Online Store of Zenit Basketball Club

You hereby confirm that you have read, understood, and fully agree to comply with this Agreement and the Personal Data Processing Policy.


You further confirm that during the period of using the Company’s Services, you remain a Client of the Company until your personal request to the Company’s Customer Support Service to terminate any relationship with the Company.


Terms and Definitions Used in this Agreement


Company — the official online store of Zenit Basketball Club, a legal entity duly registered under the name LLC “Zenit BC” (OGRN 1087847003793), with the organizational and legal form of a limited liability company (LLC) and the registered address: 197110, St. Petersburg, Futbolnaya Alley, Building 8, Letter A, Floor 2, Office 303. The Company carries out its activities through the Internet resource store.bc-zenit.com and related services.


Website — the resource located on the Internet at store.bc-zenit.com, which is the property of the Company.

Product — uniforms, merchandise, and souvenirs of Zenit BC, casual clothing, sportswear, basketballs, accessories, and other original items decorated with the official symbols of Zenit BC, presented in the Company’s catalog on the Website.

Personal Data — personal information (including last name, first name, patronymic, address, contact phone number, email address) voluntarily and knowingly provided by the Client when placing an Order on the Website, necessary for the Company to perform the Agreement under which the Client is the beneficiary.


Agreement — the relationship between the Company and the Client for the purchase of Products under the terms of this Client Agreement, arising from the moment the Order is placed and paid for.

Client — any individual or legal entity (or a representative thereof) who voluntarily places an Order on the Website.


Order — a request by the Client to purchase Products from the Company’s catalog, placed via the electronic form on the Website by the Client and processed by the Company’s Customer Support Service.


Services — the range of activities provided by the Company to the Client in order to fulfill the terms of the Agreement.

Client Agreement — this Agreement, regulating the relationship between the Company and the Client throughout the entire period of the provision of Services and the Client’s access to the personalized services of the Website.


Personal Data Processing Policy — the provisions regulating the obligations of the Company regarding the processing of the Client’s personal data.


Customer Support Service — employees of the Company responsible for ensuring compliance with the terms of the Agreement.


PART I. Relationship between the Company and the Client


1. General Provisions


1.1. The Company offers you its Services and Website features under the terms set forth in this Agreement.

1.2. The use of the Website’s services, as well as all relations between you and the Company connected with the use of the Website’s services, are governed by this Agreement.

1.3. By using any of the Website’s services or any of its functionalities, you unconditionally agree to all terms of this Agreement and all other terms set forth on the Website’s pages, and you undertake to comply with them. If you do not agree with any of the terms, you must immediately stop using the services and leave the Website.

1.4. You are informed that this Agreement applies to all services of the Website currently available, as well as to any of their future developments and/or the addition of new services.

1.5. You acknowledge and agree that nothing in this Agreement shall be construed as establishing agency relations, partnership (joint activity), employment relations, or any other relations not expressly provided for by this Agreement between you and the Company.

1.6. This Agreement is governed by the civil legislation of the Russian Federation, including the Law of the Russian Federation “On Consumer Protection” dated 07.02.1992 No. 2300-1, and subordinate regulatory legal acts.

1.7. You agree that any disputes concerning this Agreement and the relationship between you and the Company shall be resolved in accordance with the legislation of the Russian Federation.

1.8. You agree that if any provision of this Agreement is declared invalid or unenforceable by a court, this shall not affect the validity or enforceability of the remaining provisions of this Agreement.


1.9. The Company’s failure to act in case of your violation of this Agreement does not deprive the Company of the right to take appropriate actions later to protect its interests and does not constitute a waiver of its rights in case of subsequent similar or related violations.

1.10. The Company reserves the right to amend this Agreement without any special notice. The new version of the Agreement comes into effect upon its publication at https://store.bc-zenit.com/en/terms/public-offer, unless otherwise provided for in the new version of the Agreement. The current version of the Agreement is always available at this address.


1.11. By placing an order, you confirm your consent to the provisions of this Agreement. A link to the Client Agreement is always available when placing an order.


1.12. The Company does not intentionally collect information, including Personal Data, from minors for the purpose of using and/or targeting the content of the Website to minors. Responsibility for the actions of minors, including the purchase of Products from the Company’s catalog on the Website, rests with their legal representatives.


1.13. The Website’s services may contain links to other resources. You acknowledge and agree that the Company is not responsible for the availability of such resources, their content, or any consequences arising from your use of such content.


1.14. You also agree that the Company bears no responsibility for your personal data that you provide to third-party resources and/or other third parties when accessing them from the Company’s Website.


1.15. You confirm that the Company is not liable for any possible loss and/or corruption of data that may occur due to your violation of the provisions of this Agreement.


2. Description of the Company’s Services


2.1. The Company sells Products through the web resource store.bc-zenit.com and its related services.

2.2. The Company provides delivery of Products by the methods specified in Part 3 of this Agreement.


3. Client’s Obligations When Placing an Order


3.1. To purchase Products from the Company’s catalog on the Website, you agree to provide accurate and complete information in response to the questions requested during the placement of the Order, as necessary for the Company to fulfill its obligations regarding the Products you purchase. You also agree to keep this information up to date.

3.2. In the event that you provide incorrect information, or if the Company has reasonable grounds to believe that the information you have provided is incomplete and/or inaccurate, the Company has the right to refuse to provide Services to you.


4. Client’s Obligations When Using the Website’s Services


4.1. You agree not to use the Website’s services for the purpose of:

4.1.1. violating the rights of minors and/or causing them harm in any form;

4.1.2. impersonating another individual or a representative of an organization and/or community without sufficient legal authority, including impersonating employees of the Company;

4.1.3. collecting or processing personal data or private information of any persons;

4.1.4. disrupting the normal operation of the Company’s Website;

4.1.5. violating Russian or international laws.

4.2. You agree not to use offensive language, obscene or derogatory images, comparisons, or expressions on the Website’s services, including in relation to gender, race, nationality, profession, social status, age, or language of any person or citizen, as well as in relation to organizations, government authorities, official state symbols (flags, coats of arms, anthems), religious symbols, or cultural heritage objects (historical and cultural monuments).


5. Client Information Support


5.1. You hereby give your voluntary consent to be informed about all actions of the Company related to the provision of Services, including the status of your Order.

5.2. You hereby give your voluntary consent to be informed via notifications sent to the email address provided when placing the Order and/or via SMS notifications to your mobile phone number.

5.3. You agree that the Company is not responsible for delays, failures, incorrect or untimely delivery, deletion, or non-preservation of any notifications. At the same time, the Company reserves the right to re-send any notification in the event it was not received by you.

5.4. All questions regarding information support may be directed to the Company’s Customer Support Service at store@bc-zenit.com.


6. Company’s Property Rights


6.1. You acknowledge and agree that the Website’s services and all programs associated with them contain confidential information owned by the Company and protected by the laws of the Russian Federation as well as international law.

6.2. You agree that the content provided to you in the course of using the Website’s services is owned by the Company and protected by copyright and other applicable laws of the Russian Federation.

6.3. The Company grants you a non-transferable right to use the Website’s services solely for the purpose of purchasing Products, provided that neither you nor any other persons with your assistance will reproduce, copy, or modify them, nor use any of their parts for other personal or commercial purposes.


PART II. Sale of Products


1. General Provisions


1.1. To make a purchase from the Company’s catalog on the Website, you must provide valid and sufficient data and other information necessary for LLC “Zenit BC” to fulfill its obligations to sell and deliver the Product to you.

1.2. You agree that if any of the data you have provided, required for proper performance by the Company of its obligations to sell and deliver the Product, changes, you shall promptly notify the Company by sending an email to the Company’s Customer Support Service at store@bc-zenit.com.

1.3. You agree that the Company shall not be liable for failure and/or improper performance of its obligations to sell and/or deliver the Product to you if such failure results from your provision of inaccurate and/or invalid data about yourself, as well as from your failure to comply with the terms of this Agreement.

1.4. You acknowledge that the Product descriptions on the Website do not claim to be exhaustive and may contain inaccuracies. You are entitled to send any comments regarding inaccurate Product descriptions to the Company’s Customer Support Service at store@bc-zenit.com.

1.5. You acknowledge that the Company makes reasonable efforts to ensure that the appearance, packaging, and specifications of the Products correspond to the descriptions in the Company’s catalog on the Website. At the same time, the Company informs you that the actual appearance, packaging, and specifications of a Product may differ from such descriptions in the case of assortment goods, as well as where changes are introduced to the Product directly by the manufacturer. In addition, processing of an order with personalized thermal printing (name/number) takes four (4) business days from the moment of payment.

1.6. Products presented in the Company’s catalog on the Website have all necessary certificates and fully comply with the legislation of the Russian Federation; you may review such documents by contacting the Company’s Customer Support Service at store@bc-zenit.com.

1.7. You are informed that Product prices and availability on the Website are subject to change around the clock without prior notice and are indicated in the individual status and detailed Product page displayed in the Company’s catalog on the Website.

1.8. You are informed that a Product and the required quantity are reserved for you only after your order has been processed by the Company’s Customer Support Service.

1.9. The Company accepts payment only in non-cash form via internet payment.

1.10. Any questions related to purchasing Products from the Company’s catalog on the Website may be directed to the Company’s Customer Support Service at store@bc-zenit.com.


2. Terms of Purchase for Individuals


2.1. You may purchase Products from the Company by paying via non-cash settlement (internet payment).

2.2. Transfer of title to the Product:

2.2.1. If the Product is to be handed over to the Client at the Company’s pickup point, title to the Product passes from the Company to the Client at the moment the Product is so handed over to the Client;

2.2.2. If delivery of the Product is carried out by a delivery service, title to the Product passes from the Company to the Client at the moment the Product is transferred to the delivery service.


Payment for Products via Non-Cash Settlement


The Company accepts internet payments for Products by the following bank cards: VISA, MASTERCARD, MIR, and processes the transfer of funds via JSC “Tinkoff Bank”.


The security of internet payment processing is guaranteed by 3-D Secure.


2.3. You hereby agree that an Order is confirmed only after the debit of funds in payment for the Order has been confirmed.


2.4. You confirm that payment for the Order by internet payment must be made at the moment the Order is placed on the Website. You agree that if the Order is not paid, it will be canceled.


2.5. After placing and paying for the Order, you receive a confirmation of the conclusion of the Agreement under the terms of this Client Agreement, containing the Order number, description, date, time, and amount.

2.6. When paying for the Product, you are provided with a consignment note. A sales receipt will be provided upon your request by contacting the Company’s Customer Support Service at store@bc-zenit.com.


2.7. You hereby agree that, pursuant to subparagraph 1, paragraph 3, Article 169 of the Tax Code of the Russian Federation, invoices (scheta-faktury) are not issued.

2.8. You hereby confirm your consent to all payment terms for the Product set forth in the Delivery and Payment section.


3. Terms of Purchase for Legal Entities


3.1. Purchase of Products by legal entities is carried out by concluding a separate agreement.

3.2. You are hereby informed that when paying for Products from your settlement account, you must perform the following actions:


- Provide company details and scanned copies of INN and OGRN by email to store@bc-zenit.com;


- Sign the agreement and provide a scanned copy of the last page of the agreement with stamp and signature by email to store@bc-zenit.com;


- Make payment within ten (10) calendar days from the date the invoice is issued by the Company;


- Provide a power of attorney for your representative authorizing receipt of the Products and the right to sign consignment (waybill) documents.


3.3. When paying for Products from a settlement account, you agree that:


- The date of payment for the Products shall be the date the funds are credited to the Company’s settlement account;


- Shipment and delivery of the Products shall be carried out only after the funds are credited to the Company’s settlement account, in accordance with the delivery method you selected;


- After receiving the order, you shall send the original of the agreement signed on your side, as well as signed copies of the shipping documents (TORG-12 consignment note and invoice) to the following address:

3.4. All questions regarding relations with legal entities may be addressed to the Company’s Customer Support Service at store@bc-zenit.com.


PART III. Delivery of Products


1. General Provisions


1.1. The Company delivers Products through the delivery service Dalli Service.

1.2. You agree that if delivery of the Product to you is impossible due to your fault, including failure to collect the Product within the required period, this shall be regarded by the Company as your refusal of the Product. In such a case, the Product will be returned to the Company, and the Order will be deemed canceled.

1.3. In the event of your refusal of the Product, the prepayment transferred to the Company for the Product, excluding the Company’s delivery costs, will be refunded to you no later than ten (10) calendar days from the date you submit the relevant request, specifying the method of refund, to the Company’s Customer Support Service at store@bc-zenit.com.

1.4. All information regarding delivery times and conditions is set out in the Delivery and Payment section.

1.5. Any questions regarding delivery times and conditions may be directed to the Company’s Customer Support Service at store@bc-zenit.com.


2. Delivery Terms and Conditions via Dalli Service


2.1. The Company delivers Products through the Dalli Service delivery service.

Estimated delivery times of this service are provided in the Delivery and Payment section.

2.2. You agree that the Company shall not be liable for the observance of delivery times by Dalli Service. However, the Company will make every effort to facilitate the proper fulfillment by Dalli Service of its obligations concerning delivery times.

2.3. You are hereby informed that the cost of delivery by Dalli Service is calculated based on your location and the tariffs of Dalli Service. Current tariffs can be found in the Delivery and Payment section.

2.4. You are hereby informed that, according to the rules of Dalli Service, any Order not received by you due to your fault will be sent to the Dalli Service warehouse for storage and may be re-delivered upon agreement with the Company within one (1) calendar month.

2.5. If you fail to receive your Order within the established timeframe, you must contact the Company’s Customer Support Service at store@bc-zenit.com with the corresponding request.


PART IV. Return and Exchange of Products


1. General Provisions


1.1. Return or exchange of Products is carried out only at the Company’s pickup point, in accordance with the procedure and terms set forth in this section of the Agreement. The Company’s pickup point is located at: 197110, St. Petersburg, Futbolnaya Alley, Building 8, Letter A, Floor 2, business hours: 12:00–18:00.

1.2. To return or exchange a Product, you must submit a corresponding request to the Company’s Customer Support Service at store@bc-zenit.com. The Company shall review the request within seven (7) calendar days from the date of its receipt.

1.3. You agree that in the case of a partial refusal of a Product that is part of a set, the return or exchange of the Product shall be made only for the complete set.

1.4. You agree that any difference in actual design elements of the Product, including but not limited to color, shape, or finish, from those stated in the description on the Website does not affect the Product’s quality and does not constitute a breach of the Agreement. You are also not entitled to return a Product of proper quality that has individually determined characteristics if such a Product can be used exclusively by you, including Products with personalized thermal printing (customization) performed according to your Order.

1.5. You are informed and agree that the Company does not review or accept claims related to Products showing signs of use, including but not limited to damage to appearance (absence of original tags and packaging, cuts or holes, missing elements), if such damage was identified after the Product was handed over to you.

1.6. Any questions regarding the return or exchange of Products may be directed to the Company’s Customer Support Service at store@bc-zenit.com.


2. Return or Exchange of Products of Proper Quality


2.1. You have the right to return a Product of proper quality within seven (7) calendar days (excluding the day the Product was handed to you), or to exchange a Product of proper quality within fourteen (14) calendar days (excluding the day of purchase), provided that the Product retains its marketable condition, consumer properties, and is accompanied by documents confirming the fact and conditions of its purchase on the Company’s Website. Delivery of the Product to the Company’s pickup point shall be carried out by you at your own expense.

2.2. Refunds for Products of proper quality, excluding the Company’s delivery costs, shall be made no later than ten (10) calendar days from the date of your request to the Company’s Customer Support Service at store@bc-zenit.com.

2.3. You may exchange a Product of proper quality for an identical one. If an identical Product is not available, a refund of the amount paid for the Product shall be made no later than three (3) calendar days from the date of return of the Product.


3. Return or Exchange of Products of Improper Quality


3.1. You have the right to return or exchange a Product of improper quality for an identical one no later than twenty (20) calendar days from the date you received the Product. Delivery of the Product to the Company’s pickup point shall be carried out by and at the expense of the Company, with your cooperation. Return or exchange of the Product may be carried out via Russian Post or Dalli Service.

3.2. Refunds for Products of improper quality shall be made no later than ten (10) calendar days from the date of your request to the Company’s Customer Support Service at store@bc-zenit.com.

3.3. You may exchange a Product of improper quality for an identical one. If an identical Product is not available, a refund of the amount paid for the Product shall be made no later than ten (10) calendar days from the date of your request to the Company’s Customer Support Service at store@bc-zenit.com.


PART V. Confirmation of the Agreement


1.1. You have the right to refuse to confirm this Agreement if any of its terms are unacceptable to you.

1.2. You confirm that your acceptance of the Agreement (placing an Order) constitutes your full agreement with all of its terms without exception, as well as with all terms of the Delivery and Payment section.
